Terms of Service

1. Acceptance of Terms

By accessing or using the DealAide platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and DealAide, Inc. ("DealAide," "we," "us," or "our").

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

4. Use of the Service

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable law or regulation.
• Upload or transmit any material that is unlawful, harmful, fraudulent, or infringes on intellectual property rights.
• Attempt to gain unauthorized access to the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use automated tools to scrape or extract data from the Service without our written consent.

5. Your Content

You retain ownership of all content you upload to the Service ("Your Content"). By uploading content, you grant DealAide a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you. We will not share or sell Your Content to third parties.

6. Data Rooms

The Service allows you to create and manage data rooms. You are solely responsible for the content you place in your data room and for managing access to it. DealAide provides the tools but does not guarantee the accuracy, legality, or completeness of any content shared through data rooms.

7. Fees and Payment

Certain features of the Service may require payment. If applicable, fees will be communicated clearly before you incur any charges. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with reasonable advance notice.

8. Intellectual Property

The Service, including its design, text, graphics, logos, and software, is the property of DealAide and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. Use of the Service is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, DealAide shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time through your profile settings.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
