End-User License Agreement
Effective July 31, 2026
This End-User License Agreement (the "Agreement") is between you and DealAide, Inc. ("DealAide", "we", "us") and governs your use of the DealAide software and any related applications, integrations, and documentation (together, the "Software"). It sits alongside our Terms of Service and Privacy Policy. Where this Agreement and the Terms of Service conflict on a question of software licensing, this Agreement controls.
By creating an account, connecting a third-party service, or otherwise using the Software, you accept this Agreement. If you do not accept it, do not use the Software.
1. Licence Grant
Subject to your compliance with this Agreement and to payment of any applicable fees, DealAide grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software for your own internal business purposes, namely preparing, marketing, and negotiating the sale or purchase of a business.
The Software is licensed, not sold. No rights are granted other than those expressly stated here.
2. Permitted Users
You may allow your employees, advisors, and invited counterparties to use the Software through your account, provided you remain responsible for their compliance with this Agreement. You must not share credentials. Each person must use their own account.
3. Restrictions
You must not, and must not permit anyone else to:
- copy, modify, translate, or create derivative works of the Software;
- reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;
- rent, lease, sell, sublicense, distribute, or otherwise make the Software available to any third party, or use it to operate a service bureau on behalf of others;
- remove or obscure any proprietary notice, brand, or attribution;
- probe, scan, or test the vulnerability of the Software, or breach or circumvent any security or authentication measure;
- use automated means to scrape or extract data beyond the features the Software provides;
- upload malicious code, or content you do not have the right to upload; or
- use the Software to violate any law, or any confidentiality obligation you owe to another party.
4. Your Content
You keep ownership of everything you upload or generate through the Software, including financial records, documents, and deal materials ("Your Content"). You grant DealAide a limited licence to host, process, and display Your Content solely to provide the Software to you and to those you invite. We do not sell Your Content.
You are responsible for having the right to upload Your Content, and for the accuracy of any figures or statements you present to a counterparty through the Software.
5. Third-Party Services
The Software can connect to third-party services at your direction, including Intuit QuickBooks Online for accounting data, Stripe for payments, and Mailgun for email delivery. Those services are operated by their providers under their own terms and privacy policies, not ours. Connecting one authorises DealAide to access data from it on your behalf, and you may revoke that authorisation at any time from within DealAide or from the third-party service. DealAide is not responsible for the availability, accuracy, or acts of any third-party service.
6. Ownership
DealAide and its licensors own all right, title, and interest in the Software, including all intellectual property rights in it, and in any improvements, feedback, or suggestions you provide. Nothing in this Agreement transfers ownership of the Software to you.
7. Not Professional Advice
The Software is a workspace, not an adviser. Its outputs, including generated documents, financial summaries, valuations, and any AI-assisted drafting, are informational only and are not legal, tax, accounting, brokerage, or investment advice. Retain qualified professionals before entering into any transaction. You are solely responsible for decisions you make using the Software.
8. Availability and Changes
We may update, change, or discontinue features of the Software. We will not make a change that materially reduces core functionality of a paid plan during a paid term without notifying you.
9. Term and Termination
This Agreement applies for as long as you use the Software. You may terminate it at any time by deleting your account. We may suspend or terminate your licence if you materially breach this Agreement, or if required by law. On termination, your licence ends and you must stop using the Software. Sections 4, 6, 7, 10, 11, and 12 survive termination.
10. Disclaimer of Warranties
To the fullest extent permitted by law, the Software is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or that it will meet your requirements.
11. Limitation of Liability
To the fullest extent permitted by law, DealAide will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Software, whether in contract, tort, or otherwise, even if advised of the possibility. Our total aggregate liability arising out of or relating to the Software will not exceed the greater of the amounts you paid DealAide in the twelve months before the event giving rise to the claim, or one hundred United States dollars.
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.
12. Indemnity
You will defend, indemnify, and hold DealAide harmless from any claim, loss, or expense, including reasonable legal fees, arising from Your Content, your use of the Software, or your breach of this Agreement.
13. Governing Law
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of it.
14. Changes to This Agreement
We may update this Agreement. We will post the revised version on this page with a new effective date, and where the change is material we will give notice through the Software or by email. Continued use after the effective date means you accept the revised Agreement.
